Samskip verkoopt haar UK en Ierland multimodale transportactiviteiten aan CLdN.
JBR trad op als M&A adviseur voor Samskip bij de carve-out en verkoop van de UK en Ierland transportactiviteiten aan CLdN.

JBR begeleidde Samskip bij het gehele proces omtrent de carve-out en de verkoop van haar UK en Ierland business.
Het Belgische CLdN neemt de door-to-door en quay-to-quay transportactiviteiten gericht op de UK en Ierland over van Samskip. De UK en Ierland activiteiten beslaan jaarlijks meer dan 1.000 port calls en als onderdeel van de transactie neemt CLdN tevens meer dan 5,000 container units over.

Samskip
Samskip is één van Europa’s grootste multimodale transportbedrijven van Europa. Met meer dan 40 kantoren in 25+ landen, focust Samskip zich op de Europese shortsea-markt, van de Baltische staten tot aan Marokko.
- Samskip is van oorsprong een IJslandse onderneming, opgericht in 1943 onder de naam Samband Line wat in 1991 veranderde in Samskip. De onderneming focust zich op de Europese shortsea-markt en is daarin één van de grootste Europese multimodale transportondernemingen.
- Samskip biedt hoogfrequente shortsea-, weg-, spoor- en binnenvaartverbindingen tussen bestemmingen in Europa, de Baltische staten en Centraal-Azië, zowel deur-tot-deur (inclusief collectie) als kade-tot-kade. Daarnaast verzorgt de Onderneming aanvullende diensten zoals customs clearance, temperature-controlled logistics en breakbulk & project cargo handling, waarbij een breed scala aan eigen schepen, containers, trucks en trailers wordt ingezet, waaronder een volledig assortiment ISO-containers en reefers.
- Na de verkoop van de UK en Ierland, is Samskip nog actief in 25+ landen door middel van 40+ kantoren en 1,500+ FTE. Samskip opereert een vloot van ca. 18 schepen waarmee de onderneming wekelijks meer dan 80 shortsea- en binnenvaartafvaarten verzorgt en meer dan 100 wekelijkse treinvertrekken, met toegang tot meer dan 100 terminals binnen haar netwerk.
CLdN
CLdN is één van de grootste geïntegreerde logistieke dienstverleners van Europa op het gebied van sea, road en rail, met een sterke focus op de korte RoRo-vaart tussen het Europese vasteland, het Verenigd Koninkrijk, Ierland en Scandinavië.
- CLdN is opgericht in 1929 en heeft daarmee meer dan 90 jaar ervaring als aanbieder van geïntegreerde quay-to-quay- en door-to-door logistieke oplossingen. De onderneming verbindt de belangrijkste economische regio’s van Europa via een uitgebreid netwerk van eigen schepen, terminals en equipment;
- CLdN beschikt over een vloot van meer dan 30 eigen gebouwde schepen en verzorgt meer dan 200 afvaarten per week tussen het Europese continent, het Verenigd Koninkrijk, Ierland, Iberia en Scandinavië;
- De onderneming biedt terminal-handlingdiensten op 15 havens in België, Nederland, Zweden, Ierland, Spanje, Portugal en het Verenigd Koninkrijk, en verzorgt zij RoRo-shipping, vessel stevedoring en opslag van (nieuwe) auto’s, bedrijfsvoertuigen, trucks en bussen.

Samskip Agrees To Sell To Cldn Its Uk And Ireland Quay-To-Quay And Door-To-Door Freight Business
The transaction will give continuity and service for customers and helps to focus on growing other parts of the Samskip network.
Today, Samskip announced an agreement with leading short sea shipping and multimodal operator CLdN to sell its UK and Ireland (UKI-trade) door-to-door and quay-to-quay cargo business.
Samskip is confident that by handing over the UKI-trade, continuity and high service levels for its customers are secured. By selling this part of its business, greater focus can be given to growing other parts of their network, ensuring a strong, sustainable product offering with a customer-centric organization.
The transaction will enable Samskip to focus even more on the company’s long-distance multimodal network that connects destinations covering mainland Europe, the Nordics, Baltics, Iberia and North Africa. With sustainability as a central part of Samskip’s strategy, this will contribute to the decarbonization of customer’s supply chains.
The sale covers the container shipping services currently operated by Samskip between Rotterdam (Rotterdam Short Sea Terminals / Matrans Rotterdam Terminal) and UK ports of Belfast, Blyth, Grangemouth, Hull and Tilbury and the Irish ports of Cork, Dublin and Waterford. It is envisaged to transfer all existing operations in respect of the UKI-trade, including our operating agreements.
The envisaged transaction is subject to the satisfactory outcome of the relevant and recommended regulatory and competition clearances.

Both parties have agreed not to disclose financial details related to the transaction.
